Star Equity Holdings will pay as much as $2.5 million to absorb Cornerstone RPO, a recruitment process outsourcing firm, through a newly signed asset purchase agreement. The deal, executed through subsidiary Hudson Talent Solutions, brings Cornerstone’s workforce and client roster under Star Equity’s control.
Recruitment outsourcing has become a competitive battleground as companies chase specialized hiring capabilities. Star Equity’s move signals an aggressive push to broaden Hudson Talent Solutions’ footprint in this sector. Rather than build capabilities from scratch, the company chose to buy them.
The transaction structure spreads risk across multiple payment layers. Star Equity hands over $500,000 at closing, followed by a $250,000 promissory note payable over three years. The remaining value hinges on performance: Cornerstone can earn up to $1.5 million if revenue targets materialize, plus another $250,000 contingent on successfully transferring client contracts or generating new business.
The agreement took effect on November 2, 2026. Both parties signed the same day, according to a Form 8-K filed with the Securities and Exchange Commission on November 4, 2026.
The earnout period runs three years, giving Cornerstone’s former principal’s time to prove the acquisition’s worth. Those revenue-based payouts only trigger if the acquired operations deliver actual results, a structure that protects Star Equity from overpaying for underperformance.
The deal’s back-loaded design reflects growing caution among acquirers in the staffing industry. Buyers increasingly prefer tying purchase prices to post-acquisition performance rather than paying premiums upfront.
Star Equity now integrates Cornerstone’s recruitment process outsourcing services into Hudson Talent Solutions’ existing platform. The combined operation will pursue expanded service offerings across the recruitment value chain.
Whether the full $2.5 million changes hands depends entirely on Cornerstone’s ability to retain clients and hit revenue milestones over the next three years. That uncertainty, coupled with the modest upfront payment, keeps Star Equity’s risk contained while positioning Hudson Talent Solutions for a more aggressive market push.
