Hero Motors Holds Rs 1,200 Crore IPO Approval Despite Reports of Shrinking Offer

Hero Motors now sits at a crossroads with its long-planned public debut. The Securities and Exchange Board of India signed off on a Rs 1,200 crore IPO back in September 2025, yet murmurs across trading desks point to a smaller Rs 1,000 crore offering in the works. No official exchange document has backed that chatter so far.

The confusion matters because retail and institutional investors alike track offer sizing as a signal of promoter confidence. A slimmer float can hint at shifting market appetite or internal capital reassessment. As of August 29, 2026, the regulator’s sanctioned figure remains Rs 1,200 crore. The company has filed nothing to alter that record.

Under the approved structure, fresh shares would raise Rs 800 crore while existing shareholders would sell another Rs 400 crore through an offer for sale. Debt repayment claims the largest slice of the fresh issue at roughly Rs 285 crore. Meanwhile, capacity work at the Gautam Buddha Nagar plant gets about Rs 237 crore. Remaining proceeds would cover general corporate needs and possible acquisitions.

This isn’t Hero Motors’ first run at a listing. The company lodged papers for a Rs 900 crore IPO in August 2024, then pulled them two months later. It refiled at the higher Rs 1,200 crore mark and won approval the following year. That pattern reveals a management team willing to recalibrate as conditions shift.

Financials tell a mixed story. Profit after tax slumped nearly 67 percent in fiscal 2024, even as revenue ticked upward. Operating costs and market swings squeezed margins. The heavy debt-reduction allocation also exposes the balance sheet’s current strain. Capacity expansion and sustained profitability will decide whether the listing gains traction.
