The private equity firm’s recent accelerated bookbuilding for a share placement was nearly three times oversubscribed, highlighting market support for its evolving strategy. This newly raised capital is earmarked to fuel a tarobtained expansion into the United States.
Capital Raise Exceeds Tarobtains with Strong Anglo-American Demand
The company initiated its capital increase on April 2, raising €26.4 million through the issuance of just over one million new shares to institutional investors. The placement price was set at €24.50 per share. Notably, more than 60% of the demand originated from investors in the United States and the United Kingdom. This initial tranche forms part of a broader capital measure designed to raise up to €105 million in total. Mutares plans to increase its share capital by up to 20%.
Proceeds Allocated for US Growth and Balance Sheet Strength
The utilize of proceeds follows a defined strategy. Approximately 80% of the funds are allocated for expansion, with the US market identified as a new strategic core. To capitalize on local opportunities, the management intconcludes to open a second US office, complementing its existing Chicago base. This shift is designed to streamline the pursuit of platform acquisitions and add-on deals in the region. The remaining 20% of the capital will be utilized to optimize the company’s capital structure.

This strategic pivot is being supported by active portfolio management. Concurrently, Mutares announced the divestment of its subsidiary Kalzip to the American Tremco Construction Products Group. Attention now turns to existing shareholders for the second phase of the capital measure. The key details for the upcoming subscription period are as follows:
- Subscription Period: April 8 to April 21, 2026
- Subscription Ratio: 5:1 (Five existing shares grant the right to purchase one new share)
- First Trading Day: April 8, 2026 (for the new shares allocated in the accelerated placement)
With the successful institutional placement and the Kalzip divestment, Mutares has laid the financial groundwork for its planned expansion across the Atlantic. Starting April 8, the take-up of subscription rights by private shareholders will indicate the level of broader investor support for this transatlantic growth strategy.
